Tax Planning Services in Bangladesh for Employers & Companies
Payrollbangladesh plans your tax position under the Income Tax Act 2023 before the year ends, not after: salary and perquisite structures that use the employment-income exemption, withholding set-up that deducts the right tax at source, the bank-transfer condition that cuts the company rate by 2.5 points, investment-rebate planning for directors and staff, advance-tax instalments timed to cash flow, and the VAT position aligned to the income-tax one. Every recommendation is tied to the section that allows it, and we run the payroll that puts it into effect.
Tax Planning Services Built for Companies That Pay Salaries in Bangladesh
We plan from the payroll desk outward. Because we already compute the tax deducted from every salary we process, we see where a structure leaks tax — an allowance taxed in full that could sit inside the exemption, a company paying 27.5% when the bank-transfer condition would give 25%, a director with no investment rebate claimed, an advance-tax instalment missed and interest running. Three kinds of clients use this service:

Foreign subsidiaries, branches & liaison offices
A head office that wants the Bangladesh entity’s effective tax rate explained and defended: corporate rate and the bank-transfer condition, turnover-based minimum tax, expatriate salary taxed at 30% as a non-resident until residence is established, treaty relief, and the withholding on every cross-border payment. If you have no entity yet, our Employer of Record track pays your staff under our registrations while the plan is built.
Local companies & growing SMEs
Owner-managed companies whose accountant files returns but nobody plans: salaries paid as lump sums with the one-third exemption unused, directors drawing without an investment-rebate plan, advance tax paid late, and VAT and income-tax positions that contradict each other at audit. We fix the structure once and keep it current each Finance Act.
Employees, directors & expatriate staff
For the people on the payroll we run: a salary structure that uses the BDT 5 lakh exemption cap, provident-fund and approved-fund contributions, the investment rebate (lowest of 3% of taxable income, 10% of eligible investment or BDT 7,50,000), the early-filing rebate, and a return filed inside the window that earns it rather than the one that costs 2–5% more.
What Is Included in Our Tax Planning Services?
Our tax planning services in Bangladesh cover nine planning areas. They are: salary and perquisite structuring; employer withholding set-up; corporate-rate and bank-transfer compliance; investment-rebate planning; minimum and turnover-tax planning; the advance-tax and filing calendar; expatriate and non-resident tax; VAT and withholding-VAT alignment; and the year-end review with return support. We quote a fixed annual fee per entity, scoped by headcount and transaction volume, after a scoping call.
The nine planning areas
Salary & perquisite structuring (ITA 2023, s.32–33, Sixth Schedule)
Employment income is taxed after an exemption of one-third of that income or BDT 5,00,000, whichever is lower. We design the gross-to-net structure so basic, house rent, medical, conveyance and bonus components, car benefits valued under s.33, and contributions to a recognised provident fund and approved gratuity or superannuation fund are each taxed the way the Act allows — and documented so the exemption survives an audit.
Employer withholding set-up (s.86 & s.177)
The employer must deduct tax from salary at the employee’s average rate on estimated annual income under s.86, deposit it monthly, and file the quarterly withholding return under s.177 (25 October, 25 January, 25 April, 25 July). We model each employee’s annual liability at the start of the year, set the monthly deduction, and re-run it after every increment, bonus or joiner so there is no year-end shortfall or over-deduction.
Corporate rate & bank-transfer condition (s.30)
A non-listed company pays 27.5%, reduced to 25% — and a listed company 22.5% reduced to 20% — if qualifying transactions go through bank transfer: single payments above BDT 5,00,000 or BDT 36,00,000 in a year. We audit payables, payroll and expense flows against that threshold and fix the cash payments that would forfeit the 2.5-point concession.
Investment-rebate planning (s.78)
Resident individuals may claim a rebate equal to the lowest of 3% of qualifying taxable income, 10% of permitted investment and expenditure, or BDT 7,50,000. We tell each director and employee how much to invest, in which eligible instruments and by when, so the rebate is earned in the income year rather than discovered as unusable after it.
Minimum & turnover-tax planning (s.163)
Where tax on business income falls below turnover tax, the company pays turnover tax on gross receipts regardless of profit — 1% in the general case, 0.2% for a new industrial undertaking in its first three years of commercial production. We forecast both bases so the board knows the floor it will pay and whether a loss year still carries a cash tax cost.
Advance-tax & filing calendar
Advance tax falls due in four instalments on 15 September, 15 December, 15 March and 15 June; a shortfall is penalised by the amount short-paid. Returns filed between 1 July and 30 September earn a 5% rebate (maximum BDT 25,000), and returns filed after 31 December attract 2% or 5% additional tax. We put every date on one calendar and plan the cash for each.
Expatriate & non-resident tax
A non-resident who is not a Bangladeshi citizen is taxed at the flat maximum rate of 30%; residence turns on days of presence. We plan arrival dates, split-year positions, tax equalisation or protection, home-country credits under the relevant double-taxation agreement, and the BIDA work-permit salary that payroll and the return must match.
VAT & withholding-VAT alignment
VAT registration is mandatory above BDT 50 lakh annual turnover (enlistment at BDT 30–50 lakh) at a standard rate of 15%. We reconcile the VAT return turnover to the income-tax turnover, set up VAT deducted at source on supplier payments, and plan the input-credit position so the two returns tell one story.
Year-end review & return support
Before 30 June we re-run every projection against actuals, book the last eligible investments and contributions, confirm the bank-transfer test is met, and hand a reconciled tax computation to whoever files — our Tax Consulting team or your auditor — with the sections, challans and working papers attached.
Compliance frame: Income Tax Act 2023 (nbr.gov.bd) as amended by the Finance Act 2026 (Jural Acuity, Finance Act 2026 guide); individual thresholds, slabs, employment-income exemption, investment rebate, advance-tax instalments and filing windows per PwC Worldwide Tax Summaries — Bangladesh, individual (reviewed July 2026); corporate rates, bank-transfer condition and turnover tax per PwC — Bangladesh, corporate; employer withholding under ss.86 and 177 per MiHCM employer TDS guide; VAT thresholds per the VAT and Supplementary Duty Act 2012 as amended (DFDL). Rates and thresholds change with each Finance Act; we confirm the figure in force on the day we advise.
What Are the Tax Rules That Drive Planning in Bangladesh? Key Facts at a Glance

Worked example: how much tax does a BDT 12 lakh salary pay?
A resident employee earning BDT 12,00,000 a year in income year 2026-27, with no other income, pays about BDT 21,000 in tax if the full investment rebate is used — and BDT 45,000 if it is not. Here is the computation the s.86 monthly deduction is built on.
| Step | Amount (BDT) | Rule applied |
|---|---|---|
| Gross employment income | 12,00,000 | Salary, allowances and perquisites valued under the Act |
| Less: employment-income exemption | (4,00,000) | Lower of one-third (4,00,000) or BDT 5,00,000 |
| Taxable income | 8,00,000 | |
| Tax on first 4,00,000 | 0 | Tax-free threshold |
| Tax on next 3,00,000 at 10% | 30,000 | Slab 2 |
| Tax on remaining 1,00,000 at 15% | 15,000 | Slab 3 |
| Gross tax | 45,000 | Above the BDT 5,000 minimum tax |
| Less: investment rebate (if BDT 2,40,000 or more is invested in eligible instruments) | (24,000) | Lowest of 3% of 8,00,000 = 24,000; 10% of investment; BDT 7,50,000 |
| Net tax payable | 21,000 | Deducted at source at about BDT 1,750 a month under s.86 once investment proof is on file; about BDT 3,750 a month without it |
Illustration only, on the figures above; perquisite valuation, other income, surcharge and the taxpayer’s category change the result. We run this computation for every employee on the payroll and re-run it after each change.
Why Do Employers Choose Payrollbangladesh for Tax Planning?
Because a plan that is not wired into payroll is a memo. We compute the tax on every salary we pay, so the structure we recommend is the structure that runs on the 25th of the month, and the withholding return we file reports it.
Bangladesh law, not imported templates
Every recommendation cites the Income Tax Act 2023 section, the Rule or the Finance Act change that allows it. No estate tax, no trusts, no foreign filing forms — none of those exist in Bangladesh tax, and we do not sell them.
Plan executed in payroll
The salary structure, the monthly deduction under s.86, the provident-fund contribution and the bank-transfer routing are configured in the payroll we run, so the plan and the payslip never diverge.
Re-run every Finance Act
Thresholds, the rebate formula and the corporate concession moved in the Finance Ordinance 2025 and again in the Finance Act 2026. We re-model every client plan within 30 days of each change.
Audit-defensible working papers
Each exemption claimed has its computation, its board resolution or appointment letter and its challan on file, so a DCT query is answered from the folder, not reconstructed.
Fixed annual fee
One price per entity, scoped by headcount and transaction volume, covering the plan, the quarterly re-runs and the year-end review. No percentage of tax saved, no hourly billing.
One reviewer signs every plan
A tax lead prepares, a compliance reviewer checks each figure against the Act in force, and the CEO signs off before the plan goes to your board.
How Does Our Tax Planning Process Work?
Our tax planning process in Bangladesh runs in six steps. They are diagnostic review, projection and structuring, board sign-off, implementation in payroll and accounts, quarterly monitoring, and year-end review with return support. The first plan is issued within 30 days of engagement and then maintained through the income year.
- 01Diagnostic review. We read the last two returns, the assessment orders, the payroll register, the salary structures, the general ledger payment flows and the VAT returns, and list every place the current position differs from the one the Act allows — with the section and the taka effect for each.
- 02Projection & structuring. We model the income year: each employee’s liability and monthly deduction, the company’s taxable profit against the turnover-tax floor, the bank-transfer test, the rebate capacity of each director, and the cash timetable for advance tax. Then we draft the structure and the changes needed to reach it.
- 03Board sign-off. The plan goes to the board or the head-office finance team as a written paper: current position, target position, the law relied on, the risk rating of each item and what it costs. Nothing is implemented without that approval.
- 04Implementation in payroll & accounts. Revised appointment letters and salary structures, provident-fund and approved-fund set-up, payment-routing rules for the s.30 threshold, s.86 deductions loaded into payroll, VAT-at-source set-up on supplier payments, and the advance-tax challans scheduled.
- 05Quarterly monitoring. At each withholding return and each advance-tax instalment we re-run the projection against actuals — joiners, leavers, bonuses, a turnover swing — and adjust deductions and instalments so the year-end position matches the plan.
- 06Year-end review & return support. In May–June we close the last eligible investments and contributions, confirm every test is met, and hand a reconciled computation with working papers to the return preparer. Finally, we book the early-filing window so the rebate is earned rather than the surcharge incurred.
Which Checks Do We Run on Every Tax Plan in Bangladesh?
Every plan is checked against this list before it is issued and again at each quarterly re-run. If any item fails, our reviewer holds the plan until it is fixed.
Nine checks on every tax plan
- ✓Exemption applied correctly — the employment-income exemption is the lower of one-third of salary income or BDT 5,00,000 for each employee, and the structure is evidenced in the appointment letter and payslip.
- ✓Average-rate deduction loaded — each employee’s s.86 monthly deduction reconciles to the projected annual liability, including bonus months, and is re-run after every change.
- ✓Quarterly withholding returns diarised for 25 October, 25 January, 25 April and 25 July under s.177, with the deposit challans matched to the register.
- ✓Bank-transfer test met — no single payment above BDT 5 lakh and no annual total above BDT 36 lakh outside banking channels, so the 2.5-point corporate concession is preserved.
- ✓Turnover-tax floor forecast — tax on business income compared with 1% of gross receipts (or the applicable rate) so a loss year’s cash tax is known in advance.
- ✓Rebate capacity used — each director’s and employee’s eligible investment planned to the lowest of the 3% / 10% / BDT 7,50,000 limits, with the instruments and dates listed.
- ✓Advance-tax instalments scheduled for 15 September, 15 December, 15 March and 15 June with cash reserved, so no shortfall penalty arises.
- ✓Expatriate residence tracked — days of presence counted, the 30% non-resident rate applied until residence is established, the work-permit salary matched to payroll, and treaty relief documented.
- ✓VAT and income-tax turnover reconciled — the monthly VAT returns sum to the income-tax turnover, VAT deducted at source is set up on supplier payments, and the registration status matches the BDT 50 lakh threshold.

Which Tax Planning Levers Apply to Which Taxpayer in Bangladesh?
Not every lever applies to every client. The table shows what a local company, a foreign-owned subsidiary or branch, and an individual employee or director each have available, and which items only switch on at a threshold.

Should You Plan Tax In-House or Use Payrollbangladesh? Direct Comparison
Most companies discover their tax position when the return is prepared — eleven months after the choices that fixed it were made. The rows below are the failure points we are hired to remove.
| Dimension | In-house / accountant-only | Payrollbangladesh (outsourced) |
|---|---|---|
| Timing | Position computed at return time; nothing left to change | Plan issued before the year starts; re-run quarterly |
| Salary structures | Lump-sum gross; exemption under-used; perquisites taxed in full | Structured to the one-third / BDT 5 lakh rule and s.33, evidenced in appointment letters |
| Withholding | Flat percentage deducted; year-end shortfall or refund claim | Average-rate deduction per employee, reconciled quarterly |
| Corporate rate | Cash payments breach the s.30 threshold; concession lost at assessment | Payment-routing rules set; 2.5-point concession preserved |
| Rebate | Directors told after June what they could have invested | Investment plan per person with instruments and dates, before June |
| Advance tax | Paid when the bank balance allows; shortfall penalty | Four instalments scheduled with cash reserved |
| Legal change | Noticed when the auditor mentions it | Each Finance Act mapped to the affected line of your plan within 30 days |
| Evidence | Reconstructed when the DCT asks | Working papers, resolutions and challans filed with the plan |
| Accountability | Split across accountant, HR and the bank | One tax lead, one reviewer, CEO sign-off |

What Determines the Price of Tax Planning Services in Bangladesh?
Three things set the price of tax planning in Bangladesh: the number of taxpayers covered (the entity plus each director, employee or expatriate planned individually), the transaction volume that has to be tested against the bank-transfer and VAT rules, and whether cross-border or expatriate positions are in scope. We charge a fixed annual fee on that basis; government fees and advance tax are, of course, yours and paid against treasury challans. After a scoping call we issue a written quote.
| Bundle | Fit | What’s included |
|---|---|---|
| Payroll tax | Any employer that wants its staff taxed correctly and no more | Salary and perquisite structuring for every employee, s.86 deduction model, quarterly re-run before each s.177 return, employee rebate and filing-window guidance, year-end computation hand-over |
| Corporate | Local companies and SMEs | Payroll-tax bundle + corporate projection against the turnover-tax floor, s.30 bank-transfer audit and payment-routing rules, advance-tax calendar, VAT-to-income-tax reconciliation, board paper and annual review |
| Group & expatriate | Foreign-owned subsidiaries, branches and liaison offices | Corporate bundle + expatriate residence and package planning, non-resident withholding on head-office charges and fees, treaty-relief documentation, head-office effective-tax-rate report, hand-off to Expatriate Management for the work-permit file |
All bundles include the diagnostic review, quarterly monitoring and the year-end review. Return preparation and lodging are quoted separately under Tax Consulting Services; monthly VAT returns under Tax & VAT Management.
Frequently Asked Questions — Tax Planning in Bangladesh
Eleven questions employers ask us
What do tax planning services in Bangladesh include?
Tax planning services in Bangladesh arrange salaries, perquisites, company transactions, investments and filing dates in advance so an employer and its staff pay only the tax the Income Tax Act 2023 requires.
Payrollbangladesh delivers this as fixed-fee annual bundles — Payroll tax, Corporate, or Group & expatriate — with a diagnostic review first, quarterly re-runs and a year-end review.
How much of an employee’s salary is tax-free in Bangladesh?
One-third of employment income or BDT 5,00,000, whichever is lower, is exempt. The balance is taxed through the slabs after the BDT 4,00,000 general threshold for income year 2026-27; women, taxpayers aged 65+, persons with disabilities and freedom fighters get higher thresholds.
We structure the salary components so the exemption is used in full and document it in the appointment letter so it survives an audit.
What are the individual income tax slabs in Bangladesh for 2026-27?
Above the tax-free threshold: 10% on the next BDT 3,00,000, 15% on the next 4,00,000, 20% on the next 5,00,000, 25% on the next 20,00,000 and 30% on the rest. Minimum tax is BDT 5,000 (BDT 1,000 for a new taxpayer).
A net-wealth surcharge of 10–35% of tax applies above BDT 4 crore. Figures as reviewed in July 2026; they move with each Finance Act and we confirm the rate in force on the day we advise.
How does the employer deduct tax from salary in Bangladesh?
Under s.86 the employer estimates each employee’s annual income, computes the tax and deducts one-twelfth each month at the employee’s average rate, deposits it monthly, and files the quarterly withholding return under s.177 on 25 October, 25 January, 25 April and 25 July.
Failure to deduct is taxed at the shortfall plus 50%, so we re-run every employee’s estimate after each increment, bonus or joiner.
What is the corporate tax rate in Bangladesh and how do we get the lower rate?
A non-listed company pays 27.5%, reduced to 25% when qualifying transactions go through bank transfer; a listed company pays 22.5% reduced to 20%. The s.30 banking condition applies to single payments above BDT 5,00,000 and annual totals above BDT 36,00,000.
Banks and financial institutions pay 37.5% or 40%; mobile operators and tobacco companies 45%. We audit payment flows against s.30 and set routing rules so the 2.5-point concession is kept.
How does the investment tax rebate work after the Finance Act 2026?
The rebate is the lowest of 3% of qualifying taxable income, 10% of permitted investment and expenditure, or BDT 7,50,000, for residents and non-resident Bangladeshis. The Finance Act 2026 cut the rate from 15% and the cap from BDT 10 lakh.
We tell each director and employee the amount, the eligible instruments and the deadline, and track it so the investment is made inside the income year.
When is advance tax due and what happens if we miss it?
Advance tax is paid in four equal instalments on 15 September, 15 December, 15 March and 15 June. Individuals pay only if last assessed income exceeded BDT 10,00,000; companies pay on estimated liability. The shortfall penalty equals the amount short-paid.
Interest also runs where tax paid is below 75% of the assessed amount. We schedule the instalments alongside the withholding returns and reserve the cash for each.
When should an individual file the return to pay the least?
File between 1 July and 30 September for a 5% rebate (maximum BDT 25,000). October–December costs nothing extra; January–March adds 2% (minimum BDT 3,000); April–June adds 5% (minimum BDT 5,000).
A company’s return is due on the 15th day of the ninth month after the income-year end (or 15 September if earlier), with a 5% rebate for filing two months early. Our year-end review targets the rebate window for every taxpayer we plan.
How are expatriate employees taxed in Bangladesh?
A non-resident who is not a Bangladeshi citizen pays a flat 30% on Bangladesh-source income. Once resident by days of presence, the individual moves to the resident slabs and the employment-income exemption. Salary paid abroad for work in Bangladesh is still Bangladesh-source.
We plan arrival dates, split-year positions, tax equalisation and treaty credits, and keep the payroll salary equal to the BIDA work-permit salary.
Does tax planning in Bangladesh include estate tax, wills or trusts?
No. Bangladesh has no estate or inheritance tax; planning built on wills, irrevocable trusts or retirement distributions belongs to other jurisdictions. Bangladesh planning turns on the Income Tax Act 2023: salary structure, withholding, the corporate bank-transfer condition, turnover tax, the rebate, advance tax and filing windows.
If you have been offered the former, the advice was not written for Bangladesh.
Which other Payrollbangladesh services pair with tax planning?
The usual pairings are TDS Processing for the monthly deposits and quarterly returns the plan feeds, Tax Consulting Services for the annual return, Tax & VAT Management for the VAT side, and the Corporate Payroll Service that executes the salary structure every month.
Foreign employers add Expatriate Management and Statutory Registration for the TIN and withholding set-up the plan assumes.
