Terms and Conditions for Payroll, EOR & HR Services in Bangladesh
These terms set the rules for using payrollbangladesh.com and for working with PayrollBangladesh (PayrollBD) on payroll outsourcing, Employer of Record (EOR), PEO, recruitment, HR and compliance services in Bangladesh. Please read them before you request a quote or sign a service agreement.
- Your signed agreement comes first. If it differs from this page, the signed Service Agreement or Statement of Work applies.
- Payroll is paid from cleared funds. Salaries are released only after your funding reaches us before the agreed cut-off.
- Bangladesh law applies. This includes the Bangladesh Labour Act 2006, the Labour Rules 2015 and the Income Tax Act 2023.
- Your data stays confidential. We use it only to deliver the services, as described in our Privacy Policy.
- Either side can end the services. You give the notice set out in your agreement, and statutory employee dues are settled under the law.

By using the website, requesting a quotation or signing a service agreement with us, you agree to these Terms. If you use our services on behalf of a company or organisation, you confirm that you are authorised to accept these Terms for it.
If you do not agree with these Terms, please do not use the website or our services.

Our services
We provide services in Bangladesh including Employer of Record (EOR), payroll outsourcing, PEO, Agency of Record, contractor compliance, subsidiary and INGO payroll, recruitment, HR administration, statutory registration and compliance support.
Your Service Agreement sets out the exact scope, deliverables, timelines and service levels. Anything outside that scope is not included unless we agree to it in writing.
Use of this website
You may use this website to learn about our services and to contact us. You must not:
- use the website for any unlawful, fraudulent or harmful purpose;
- try to gain unauthorised access to the website, its servers or any connected system;
- copy, scrape or republish our content for commercial use without our written permission;
- upload malware or interfere with how the website works.
The guides and articles on this website are general information. They are not legal, tax or financial advice for your situation. Please get professional advice before acting on them.
Quotations and agreements
You can ask for a quotation through our Get a Quote page or by email. A quotation is valid for the period stated on it. It becomes binding only when both parties sign a Service Agreement or you accept the quotation in writing.
If these Terms and your Service Agreement conflict, the documents apply in this order: (1) the Service Agreement and SOW, (2) any data processing terms we have agreed, (3) these Terms.
Engagement & Payroll
Your responsibilities, our fees, payroll funding, statutory compliance and how EOR employment works.
Client responsibilities
To let us deliver the services accurately and on time, you agree to:
- provide complete, accurate and timely information for each payroll cycle, including joiners, leavers, salary changes, leave and deductions;
- review and approve payroll inputs and reports by the agreed deadlines;
- give only lawful instructions, including on hiring, pay, working hours and termination;
- tell us promptly about any change that affects compliance, such as a new office, a change of entity or a change to a Worker’s role;
- make sure you have the right to share any personal data you give us.
We are not responsible for errors, penalties or delays caused by information that is late, incomplete or inaccurate.
Fees and invoicing
Our fees, billing frequency and payment terms are set out in your Service Agreement or accepted quotation. Unless the agreement says otherwise:
- we invoice in US dollars (USD) or Bangladeshi taka (BDT), as agreed;
- service fees are separate from salaries, employer contributions, statutory payments and other pass-through costs;
- you pay bank charges and currency conversion costs on your side of a transfer;
- applicable VAT, withholding tax and other government charges are added as required by Bangladesh law.
If an invoice is overdue, we may pause services after giving you written notice.
Payroll funding
For payroll and EOR services, you must send the full payroll funding, covering salaries, allowances, taxes, statutory contributions and our fees, so that it reaches us as cleared funds before the payroll cut-off date in your Service Agreement.
We release salaries and statutory payments only from cleared funds. If funding arrives late, salary payments may be delayed. Any resulting penalties, interest or costs are your responsibility, unless the delay was caused by our error.
Statutory compliance and tax
We process payroll and employment in line with the laws of Bangladesh that apply to the services, including the Bangladesh Labour Act 2006, the Bangladesh Labour Rules 2015, the Income Tax Act 2023, and Bangladesh Bank rules for payments where relevant.
Where the law requires it, we calculate, deduct and deposit tax at source on salaries and submit the related returns. Laws, rates and official procedures can change. If a change in law increases the cost of providing the services, we will tell you in writing and may adjust the fees or the scope to match.
Employer of Record terms
When we act as Employer of Record, we are the legal employer of the Worker in Bangladesh. We issue the employment contract, run payroll and handle statutory obligations. You direct the Worker’s day-to-day tasks, priorities and performance.
- You agree not to make offers, change pay or end employment without going through us, because these actions have legal effects for the employer.
- All employment costs, including end-of-service benefits, notice pay and other statutory dues, are passed through to you as set out in your Service Agreement.
- Any termination follows the Bangladesh Labour Act 2006, the Worker’s contract and any applicable company rules.
Data, IP & Risk
How we protect confidential information and personal data, who owns what, and how liability is shared.
Confidentiality
Each party will keep the other party’s confidential information secret and use it only for the purpose of the services. Confidential information includes business plans, pricing, salary data, Worker records and any information marked or reasonably understood as confidential.
This duty does not cover information that is already public, that was lawfully received from a third party, or that must be disclosed by law or by a regulator. In those cases, the disclosing party will give notice where the law allows. This duty continues after the services end.
Data protection
We handle Client Data and Worker personal data as described in our Privacy Policy and in any data processing terms in your Service Agreement. In particular, we:
- process personal data only to deliver the services and to meet legal obligations;
- limit access to authorised staff who need the data for their work;
- use technical and organisational security measures that suit the sensitivity of payroll data;
- tell you without undue delay if we become aware of a personal data breach that affects your data;
- keep records only for as long as the law or the Service Agreement requires.
Intellectual property
We own the content, design, logos and materials on this website. You may view and print pages for your own internal use, but you may not copy or republish them commercially.
Under an EOR arrangement, the Worker’s work product for you is assigned to you as set out in your Service Agreement and the Worker’s employment contract, once the related invoices are paid. We keep ownership of our own templates, tools, methods and know-how.
Limitation of liability
We will deliver the services with reasonable skill and care. To the extent the law allows:
- neither party is liable for indirect or consequential loss, such as loss of profit, business or goodwill;
- our total liability under a Service Agreement is limited to the amount set out in that agreement, or, if none is set out, to the service fees you paid us in the twelve months before the claim;
- we are not liable for losses caused by your instructions, late funding, inaccurate information or the acts of third parties outside our control.
Nothing in these Terms limits liability that cannot be limited under Bangladesh law.
Indemnity
Each party will compensate the other for losses that result directly from its own breach of these Terms or the Service Agreement, from its breach of law, or from its own negligence or wilful misconduct.
You will also compensate us for claims that arise from instructions you gave us, such as how Workers are classified, paid, managed or dismissed, where we followed those instructions in good faith.
Ending & Disputes
How the services end, what happens in events beyond anyone’s control, and how disputes are resolved.
Term and termination
Each Service Agreement runs for the term stated in it. Either party may end it by giving the written notice set out in the agreement. Either party may also end it straight away by written notice if the other party:
- commits a material breach and does not fix it within the cure period in the agreement; or
- becomes insolvent, enters liquidation or stops doing business.
When the services end, you must pay all outstanding fees and pass-through costs, including any statutory end-of-service dues owed to Workers. We will help with a reasonable handover of records to you or to a new provider.
Force majeure
Neither party is responsible for delays or failures caused by events beyond its reasonable control. Examples include natural disasters, floods, pandemics, government action, strikes or hartals, internet or banking system outages, and civil unrest. The affected party will tell the other party promptly and do what it reasonably can to keep the services running. Payment obligations for services already delivered still apply.
Third-party links and services
This website may link to third-party websites, government portals or tools. We do not control them and are not responsible for their content, availability or privacy practices. Some services rely on third parties such as banks, payment providers and government systems. We are not responsible for delays those parties cause, but we will help you resolve them.
Governing law and disputes
These Terms and any Service Agreement are governed by the laws of the People’s Republic of Bangladesh, including the Contract Act 1872.
If a dispute arises, both parties will first try to settle it through good-faith talks between senior representatives for 30 days. If it is still unresolved, either party may refer it to arbitration under the Arbitration Act 2001, seated in Dhaka and conducted in English, unless the Service Agreement provides for a different forum. Either party may still ask a court for urgent interim relief.
Changes and contact
We may update these Terms from time to time. The “Last updated” date at the top of this page shows when they last changed. A change does not affect a signed Service Agreement unless both parties agree to it in writing.
